Acceptance of Terms

Services

Samantha Ashley Designs provides full-service interior design services, including but not limited to:

  • Space planning and architectural coordination
  • Material and finish selections
  • Custom millwork and built-in design
  • Furniture sourcing and procurement
  • Project management and installation
  • Styling and final staging

Specific services, scope, timelines, and fees are outlined in individual project agreements. These Terms of Service apply to all engagements unless otherwise specified in writing.

Project Agreements and Proposals

All design projects require a signed agreement outlining scope, deliverables, timeline, fees, and payment terms. Proposals are valid for 30 days from the date of issue. Work begins only after a signed agreement and initial payment are received.

Our fees are based on the scope and complexity of each project and are outlined in your proposal or agreement. Fees may be structured as flat fees, hourly rates, or retainers depending on the project type.

Design Fees:

For furniture, materials, and products sourced on your behalf, we apply a markup to wholesale costs to cover procurement services, quality assurance, and project coordination. Payment for product purchases is required before orders are placed.

Fees and Payment

Invoices are due upon receipt unless otherwise specified. Late payments may incur fees and delay project timelines. We reserve the right to pause work on projects with outstanding balances.

Payment Terms:

Design fees are non-refundable once work has commenced. Product orders placed with vendors are subject to each vendor's cancellation and return policies and may incur restocking fees or be non-refundable.

Cancellations and Refunds:

Client Responsibilities

To ensure successful project outcomes, clients agree to:

  • Provide timely feedback and approvals on design concepts and selections
  • Grant access to project sites as needed for measurements, installations, and site visits
  • Communicate openly about budget constraints, preferences, and concerns
  • Make timely payments according to agreed terms
  • Understand that delays in decision-making or approvals may impact project timelines

Intellectual Property

All design concepts, drawings, specifications, presentations, and materials created by Samantha Ashley Designs remain our intellectual property unless otherwise agreed in writing. Clients receive a license to use these materials for the specific project but may not reproduce, distribute, or use them for other purposes without our written consent.
Completed design work may be photographed and used in our portfolio, marketing materials, website, and social media unless otherwise agreed.

Third-Party Vendors and Contractors

We work with trusted architects, contractors, vendors, and artisans to execute projects. While we exercise care in selecting collaborators, we are not liable for their work, delays, errors, or product defects. Contracts with third parties are between the client and that party. We act as a liaison and advocate but do not assume responsibility for their performance.

Product quality, availability, and lead times are subject to manufacturer and vendor terms. We do our best to ensure timely delivery and quality products but cannot guarantee against delays or defects beyond our control.

Limitation of Liability

Samantha Ashley Designs provides professional design services and guidance but is not liable for:

  • Structural issues, code violations, or construction errors (consult licensed professionals)
  • Product defects, shipping delays, or vendor errors
  • Damages resulting from client modifications to approved designs
  • Injuries or accidents occurring on project sites
  • Third-party contractor performance or quality of work

Our liability is limited to the amount of fees paid for our design services on the specific project in question.

Website Content and Accuracy

We strive to provide accurate and up-to-date information on our website, but we do not guarantee that all content is complete, current, or error-free. Project images, descriptions, and information are for illustrative purposes. We reserve the right to update or modify website content at any time without notice.

Dispute Resolution

In the event of a dispute arising from our services or these terms, both parties agree to first attempt resolution through good-faith negotiation. If negotiations are unsuccessful, disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Pennsylvania. Each party is responsible for their own legal fees.

Governing Law

These Terms of Service are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles. Any legal action related to these terms must be brought in the state or federal courts located in Pennsylvania.

Indemnification

You agree to indemnify and hold harmless Samantha Ashley Designs, its owner, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your use of our website, violation of these terms, or any project-related disputes with third parties.

Confidentiality

We respect your privacy and will keep project details, personal information, and any sensitive information confidential unless disclosure is required by law or necessary to complete your project (such as sharing information with vendors or contractors).

  • Client is responsible for payment of all work completed and expenses incurred to date
  • All intellectual property remains with Samantha Ashley Designs unless otherwise agreed
  • Product orders already placed are subject to vendor cancellation policies
  • Refunds are provided only as outlined in the project agreement

Entire Agreement

These Terms of Service, together with any signed project agreements and our Privacy Policy, constitute the entire agreement between you and Samantha Ashley Designs. They supersede any prior agreements, discussions, or understandings related to our services.
